Licensing Help - Single Exch 2013 Server hosted on 2 Node Hyper-V Cluster

Hi,

We are currently undergoing a Microsoft SAM assessment and we have had our Exchange Licensing flagged as something that needs attention. However I'm either missing something or don't strictly agree with what is being suggested. See details below:

Deployment Overview:

1 x Exchange Server 2013 Standard - Standalone all roles i.e. (CAS, Hub Transport) this is running inside a single 2012 R2 VM. This VM sits inside a very simply 2 node Hyper-V Cluster.

The SAM assessment is claiming that we need two licenses of Exchange Server 2013 Standard as failover rights do not apply to Exchange Server and the license cannot be reassigned more often than every 90 days since its previous assignment etc.

I don't understand this however as we have no high availability or failover of the Exchange Application / Server level, High Availability and Fail-Over is only of the Server 2012 R2 VM that Exchange is installed upon. Surely at this point it is the VM's OS license that is potentially being reassigned in a failover scenario the Exchange license is still within its original OSE regardless of the physical host.

Can anyone offer any further guidance as I feel I'm either completely misinterpreting licensing regulations or Microsoft aren't understanding our deployment or the SAM consultant isn't correct.

Any help would be greatly appreciated.
