Exchange 2003 on a Windows 2012 server

I know Exchange 2003 is not supported.  I am in process of upgrading to Exchange 2013.

Step 1 - I need to move my Windows 2003 Svr/Exchange 2003 Svr off it's hardware to a new server, quickly.

I have a new Win Standard 2012 Server.  I want to put the Exchange server 2003 as a VM on the 2012 Server until upgrading to 2013.

I know Exch 2003 works with Win 2003, so I am going to keep that, I think.

Can anyone give me any advise or potential issues I may run into...?

Step 2, migrate it to Exch 2010...? then 2013...?
